Jiejie Microelectronics restructures board, abolishes supervisory board

Jiangsu Jiejie Microelectronics announced on October 10, 2025, that its Fifth Board of Directors and Fifth Supervisory Board approved the abolition of the supervisory board and a restructuring of the board of directors. In compliance with Chinese securities regulations and the "Guidelines for Articles of Association of Listed Companies," the company will no longer maintain a supervisory board, with its functions transferred to the board's audit committee.

The company’s board of directors will be adjusted from nine members to include one employee representative director, resulting in a composition of five non-independent directors, three independent directors, and one employee representative director. Concurrently, the company will revise its Articles of Association, subject to shareholder approval, and proceed with industrial and commercial registration.

In a related announcement, the company disclosed that Mr. Zhang Zulei resigned as a non-independent director due to internal work adjustments but will continue in other roles. He was subsequently elected as an employee representative director on October 10, 2025, by the company's first employee representative meeting, serving until the end of the Fifth Board of Directors' term. Mr. Zhang holds 21,172,897 shares in the company and meets the qualifications for an employee representative director.
