Goldwind International guarantees Brazilian unit's wind turbine project

Goldwind International Holdings (Hong Kong) Limited, a wholly-owned subsidiary of Xinjiang Goldwind Science & Technology Co., Ltd., has provided a guarantee for Goldwind Equipamentos e Soluções em Energia Renovável Ltda. (Goldwind Brazil). This guarantee, valued at approximately RMB 40,813,892.11, covers Goldwind Brazil's performance obligations under a wind turbine supply and installation agreement with Centrais Eólicas Imburana Macho S.A. The agreement includes the supply, inland transport, hoisting, installation, commissioning, trial operation, and warranty services for wind turbines.

The Parent Company Guarantee Agreement is expected to be signed on September 30, 2025, in Brazil. The guarantee period extends from the signing date until 12 months after the warranty period of the wind turbine supply and installation agreement ends, projected to be August 2032. Investors are advised to note Goldwind Brazil's asset-liability ratio exceeds 70%.

This guarantee represents 0.11% of Goldwind Science & Technology's net assets as of the 2024 audited figures. Following this transaction, the company's total external guarantees, including those from its holding subsidiaries, will amount to RMB 1.193 bn, which is 3.10% of its latest audited net assets. Guarantees provided to external parties not consolidated in the financial statements total RMB 285m, or 0.74% of the latest audited net assets.
