Maccura boosts governance to protect company funds

Maccura Biotechnology has implemented a special system to prevent controlling shareholders and related parties from occupying company funds, effective September 29, 2025. This system aims to establish long-term mechanisms against fund misappropriation, protecting the company and its shareholders. The new regulations clarify responsibilities for preventing fund occupation, detailing prohibited activities such as advancing salaries or facilitating intercompany loans to related parties. The board of directors is mandated to disclose non-operating fund occupation in semi-annual and annual reports, with accounting firms required to issue special audit opinions.

Alongside these measures, Maccura has also updated its external financial assistance management system and insider information registration system, both effective September 29, 2025. The financial assistance policy emphasizes risk prevention and strict approval procedures for providing funds to external entities, excluding consolidated subsidiaries with over 50% ownership and no controlling shareholder involvement. Any external financial assistance must undergo financial department review and board or shareholder approval, with independent directors providing opinions on necessity and fairness.

The insider information management system aims to prevent insider trading and ensure timely disclosure of significant events. It mandates the comprehensive registration of all individuals with access to insider information, including details on their knowledge and the timing of such access. These systems collectively underscore Maccura's commitment to robust corporate governance and shareholder protection.
