Guangxi Financial Investment ups Sealand Securities stake to over 10%

Sealand Securities (SZSE:000750) announced a significant change in the indirect shareholding of its major shareholder, Guangxi Financial Investment Group Financial Holdings Co., Ltd. (Guangxi Financial Investment). The change stems from an internal equity structure adjustment within entities controlled by the same ultimate beneficial owner, Guangxi Investment Group Co., Ltd.

Prior to this adjustment, Guangxi Financial Investment directly held 6.75% of Sealand Securities. The recent change involved Guangxi Investment Group injecting its 26.89% stake in Guangxi Wuzhou Zhongheng Group Co., Ltd. into Guangxi Financial Investment. This strategic move, completed on September 29, 2025, resulted in Guangxi Financial Investment indirectly controlling Zhongheng Group's 3.84% shares in Sealand Securities.

Following the adjustment, Guangxi Financial Investment's total direct and indirect holdings in Sealand Securities now stand at 10.60% of the company's total share capital. This change crossed the 5% and 10% thresholds, requiring disclosure. Sealand Securities confirmed that this transaction does not alter the company's control or materially impact its ongoing operations.

The transaction involved a transfer of Zhongheng Group shares for a total value of 4.07bn yuan, or 4.74 yuan per share. Guangxi Financial Investment's registered capital increased from 10.6bn yuan to 14.6bn yuan. Certain shares remain under lock-up until November 17, 2028, as per prior commitments.
