GCL System Integration guarantees 50 million yuan for Suzhou subsidiary

GCL System Integration Technology Co. (GCL System Integration) announced it has entered into a maximum guarantee contract for 50 million yuan with China Minsheng Banking Corp., Ltd. Suzhou Branch, acting as the guarantor for its subsidiary, GCL System Integration Technology (Suzhou) Co., Ltd. This guarantee falls within previously approved forecast guarantee limits and does not require further deliberation.

The company's board meetings in April and May 2025, followed by the 2024 annual shareholders' meeting, approved a total comprehensive credit line of up to 11.2 billion yuan for the company and its subsidiaries, with a guarantee limit of up to 8.87 billion yuan for the company's subsidiaries. An additional guarantee of up to 230 million yuan was approved for company subsidiaries, and up to 200 million yuan for its holding subsidiaries. Separately, in May and June 2025, additional inter-subsidiary guarantees were approved, with Hefei GCL System Integration New Energy Technology Co., Ltd. guaranteeing up to 200 million yuan for Wuhu GCL System Integration New Energy Technology Co., Ltd., and Wuhu GCL System Integration New Energy Technology Co., Ltd. guaranteeing up to 400 million yuan for Hefei GCL System Integration New Energy Technology Co., Ltd.

As of the disclosure date, the total external guarantee balance for GCL System Integration and its holding subsidiaries within the consolidated financial statement scope amounts to 412.264 million yuan, representing 172.99% of the company's latest audited net assets. The guarantee for GCL System Integration Technology (Suzhou) Co., Ltd. currently stands at 179 million yuan, accounting for 7.51% of the latest audited net assets. There are no overdue external guarantees, guarantees involving lawsuits, or losses from adjudicated lawsuits due to guarantees.
