Sinotruk Jinan Truck board approves governance document revisions

Sinotruk Jinan Truck Co., Ltd.'s board of directors held its tenth meeting on September 25, 2025, approving revisions to the working rules for its specialized committees and the general manager's working rules. All nine attending directors unanimously approved these proposals.

These board resolutions followed the company's sixth extraordinary general meeting of shareholders on the same day, where shareholders approved several significant changes. Key resolutions passed include the 2025 semi-annual profit distribution, revisions to the Company Articles of Association, and updates to the Rules of Procedure for General Meetings and Board Meetings. The profit distribution received 617,406,981 votes in favor, while amendments to the Company Articles of Association and Board Meeting Rules passed with 611,479,789 and 609,645,790 votes in favor, respectively.

The approved amendments to the Articles of Association primarily focus on enhancing corporate governance, refining the operating mechanisms of the board of directors and general manager, and reinforcing the powers and responsibilities of key committees, ensuring alignment with current regulatory standards and best practices.
