Edifier shareholders approve key governance revisions

Edifier Technology Co., Ltd. held its second extraordinary general meeting of shareholders for 2025 on September 23, 2025. A total of 425 shareholders and their authorized representatives participated, representing 495,868,107 voting shares, which accounts for 55.7715% of the total voting shares. The meeting, conducted through a combination of on-site and online voting, passed all proposed resolutions, including significant revisions to the company's articles of association and various governance policies.

Shareholders overwhelmingly approved the "Proposal on Amending the Articles of Association," with 495,515,407 votes in favor (99.9289% of effective votes cast), demonstrating strong support for the updated foundational document. Several other proposals were also passed, including revisions to the "Shareholder Meeting Rules," "Board of Directors Meeting Rules," and the establishment of a "Compensation Management System for Directors and Senior Management."

Other key approved proposals included revisions to policies on "Shareholdings and Changes of Directors, Supervisors, and Senior Management," "Independent Director Work System," "External Guarantees Management Measures," "External Investment Management System," and "Prevention of Major Shareholder and Related Party Fund Occupation Special System." The meeting also ratified updates to the "Related Party Transaction Management Measures," "Fundraising Management Measures," "Securities Investment and Derivative Transaction Management System," "CPA Firm Selection System," and the creation of a "Resignation Management System for Directors and Senior Management."
