Bluefocus to increase capital, amend articles of association

Bluefocus Intelligent Communications Group Co., Ltd. (SZSE:300058) has changed its registered capital from RMB353,752.5227万元 to RMB359,022.1227万元. This adjustment follows the vesting of 52.696 million restricted shares under its 2023 incentive plan, effective September 17, 2025.

The company's articles of association have been amended to reflect this capital change. Key revisions also include updates to rules regarding financial assistance for share acquisition, share transfer restrictions for directors and senior management, and the scope of shareholder rights concerning related parties. The company's internal governance documents, specifically the "Rules of Procedure for Board Meetings," have also been revised.

These changes were approved during the sixth board of directors' twenty-first meeting on September 23, 2025, and are now subject to shareholder approval at the third extraordinary general meeting on October 15, 2025. The board also approved an adjustment to independent director Gang Dongjun's remuneration to HK$480,000 per year, effective from his appointment date.
