Ganfeng Lithium to hold EGM on October 14, review guarantee and articles

Jiangxi Ganfeng Lithium Group Co., Ltd. (SZSE:002460) will convene its third extraordinary general meeting of shareholders for 2025 on October 14, 2025, at 2:00 PM (Beijing time). The meeting will utilize both on-site voting and network voting. Shareholders registered by October 9, 2025, are eligible to attend. Key proposals include an RMB 10,000 guarantee provided by Ganfeng Lithium for its subsidiary, Jiangsu Ganfeng Power Technology Co., Ltd., and revisions to the company's articles of association and internal management systems.

The guarantee for Jiangsu Ganfeng Power Technology Co., Ltd. is a joint and several liability for debts to Shanghai Pudong Development Bank Suzhou Branch. This guarantee falls within the previously approved total guarantee limit of RMB 3.635 bn and $30m, authorized during the 2024 annual general meeting. As of June 30, 2025, Jiangsu Ganfeng Power's asset-liability ratio stood at 70.08%, with total assets of RMB 47,404.13 and net assets of RMB 14,182.87.

As of the disclosure date, the total outstanding external guarantees for Ganfeng Lithium and its subsidiaries amount to RMB 1,912,617,760, representing 45.78% of the company's audited net assets for 2024. External guarantees for entities outside the consolidated financial statements total RMB 68.8m, or 1.65% of 2024 audited net assets.
