SGIS Songshan appoints new chairman, updates governance documents

SGIS Songshan (SZSE:000717) held its first extraordinary general meeting of 2025 on September 17, approving new articles of association. The meeting, presided over by Lan Yin following the resignation of former chairman Wu Kunzong and the absence of vice chairman Lai Xiaomin, saw the appointment of Xie Qi as a new director, replacing Lan Yin. Shareholders also approved revisions to the company's business scope, general meeting rules, and board of directors' rules.

Concurrently, the ninth board of directors convened its sixth extraordinary meeting on September 12, electing Xie Qi as the new chairman. Xie Qi will also serve as the chairman of the strategic committee and a member of the nomination committee for the remainder of the ninth board's term.

The revised articles of association reflect updates in company regulations and strategic direction. The board will now be comprised of seven directors, with the chairman and vice-chairman elected by a majority vote of all directors. These governance updates align with the company's ongoing efforts to enhance operational efficiency and regulatory compliance.
