Bengang Steel Plates updates charter following shareholder approvals

Bengang Steel Plates Co., Ltd. held its first extraordinary general meeting of shareholders for 2025 on September 17, 2025. Shareholders approved critical revisions to the company’s governance documents. The meeting, attended by 150 shareholders representing 77.21% of total voting rights, saw all proposals pass with strong support.

Key approvals included amendments to the "Articles of Association," the "Rules of Procedure for Shareholder Meetings," and the "Rules of Procedure for Board Meetings." The "Articles of Association" update received 99.7403% approval, while the "Rules of Procedure for Shareholder Meetings" and "Rules of Procedure for Board Meetings" each garnered 99.8379% approval from attending shareholders. These resolutions will take effect from the date of shareholder approval.

The company's updated "Articles of Association" (2025 Revised Edition) reflect changes to the company’s capital structure, with total shares now at 4,108,231,952. The revisions also clarify shareholder rights, board responsibilities, and internal audit mechanisms, reinforcing corporate governance in line with current legal and regulatory requirements.
