Guizhou Xinbang shareholders approve governance changes, dividend plan

Guizhou Xinbang Pharmaceutical Company Limited's first extraordinary general meeting of shareholders in 2025, held on September 17, 2025, approved several key proposals, including the 2025 semi-annual profit distribution plan and the abolition of the Supervisory Board. The meeting, which combined on-site and online voting, recorded a total of 308 shareholders and proxies in attendance, representing 26.2506% of the company's voting shares.

A significant outcome was the approval of the proposal to abolish the Supervisory Board and revise the company’s articles of association, passing as a special resolution with over two-thirds of voting shares. Additionally, shareholders passed various revisions to the company’s governance documents, including the "Shareholder Meeting Rules," "Board of Directors Meeting Rules," "Independent Director Work System," and "Remuneration and Performance Appraisal System for Directors and Senior Management." Further approved were the "Fundraising Management System," "External Investment Management Measures," "Risk Investment Management System," "Related Party Transaction Management System," "External Guarantee Management Measures," and "Regulations on Fund Transfers with Related Parties."

Furthermore, Guizhou Xinbang Pharmaceutical announced the election of Ms. Lü Xiangqian as a non-employee representative director to the Ninth Board of Directors. Her appointment is effective from the date of approval by the employee representative meeting until the expiration of the Ninth Board's term, ensuring that the number of executive directors and employee representative directors does not exceed half of the total board members.
