Zhejiang Sunflower board elects legal representative, approves governance updates

Zhejiang Sunflower Great Health Liability Company's Sixth Board of Directors held its ninth meeting on September 15, 2025, electing chairman Wu Shaoqin as the legal representative. This decision follows the approval of amendments to the company’s articles of association at the first extraordinary general meeting of shareholders earlier the same day. Wu Shaoqin’s tenure as legal representative will run until the expiration of the Sixth Board of Directors' term. The board also confirmed Chen Rongfang as the convener of the Audit Committee, with Sun Dongzhe and Wu Feng continuing as members.

The extraordinary general meeting of shareholders, also on September 15, 2025, approved several resolutions with strong shareholder support. These included revisions to the company’s articles of association, garnering 99.9446% approval, and updates to the company’s governance framework. Key governance revisions involved amendments to the rules of procedure for shareholder meetings, board of directors' meetings, external guarantee management, related party transaction decision-making, information disclosure management, independent director work guidelines, compensation management for directors and senior executives, prevention of controlling shareholder and related party occupation of company funds, selection of accounting firms, and authorization management.

All proposals were passed as special resolutions, requiring a two-thirds majority, and included separate vote counts for small and medium investors. For instance, the revision to the rules of procedure for shareholder meetings received 99.9454% approval, while updates to the authorization management system passed with 99.9142% of votes.
