Kelun Pharmaceutical dissolves supervisory board, appoints new employee representative director

Sichuan Kelun Pharmaceutical announced the dissolution of its supervisory board and the election of Ms. Zheng Changyan as an employee representative director to the eighth board of directors. This change follows resolutions from the board of directors, supervisory board, and a second extraordinary general meeting in August and September 2025, which approved amendments to the company's articles of association to eliminate the supervisory board and supervisors. Ms. Zheng's appointment was approved at the first employee representative congress on September 16, 2025.

Ms. Zheng Changyan, born in 1974, has been with the company since 1997, serving as office director and deputy director of human resources. She held the position of supervisor from May 2008 until September 16, 2025. She holds 69,792 shares in the company. The former supervisors, Mr. Wan Peng and Mr. Guo Yunpei, whose terms were originally set to expire in May 2027, have also ceased their roles, although they will continue in other company positions. Mr. Wan Peng holds 10,000 shares in the company.

The election of Ms. Zheng as an employee representative director ensures that the total number of directors who are also senior management or employee representatives does not exceed one-half of the total board members, in compliance with relevant laws and regulations.
