Risen Energy expands guarantees for two subsidiaries

Risen Energy Company Limited ("Risen Energy") announced a series of guarantee agreements for its wholly-owned subsidiaries, Risen Energy (Chuzhou) New Energy Co., Ltd. ("Risen Chuzhou") and Risen Energy (Anhui) New Energy Co., Ltd. ("Risen Anhui"). These guarantees fall under the previously approved total guarantee limit of 1,115,000 million yuan for its consolidated subsidiaries, sanctioned by the board of directors and the 2024 Annual General Meeting.

On September 11, 2025, Risen Energy signed a "Maximum Guarantee Contract" with Shanghai Pudong Development Bank Chuzhou Branch. This contract provides a joint and several liability guarantee for Risen Chuzhou's business contracts, with a maximum principal debt amount of 8,000 million yuan. This brings the cumulative effective guarantee for Risen Chuzhou to 18,000 million yuan. Concurrently, a separate "Maximum Guarantee Contract" was executed for Risen Anhui with the same bank, guaranteeing its business contracts with a maximum principal debt amount of 5,500 million yuan. Post-transaction, the cumulative effective guarantee for Risen Anhui increased to 353,564 million yuan, with an actual guarantee balance of 168,556 million yuan.

As of September 12, 2025, the total external guarantee amount by Risen Energy and its subsidiaries reached 2,754,842.24 million yuan, representing 63.93% of the company's total audited assets and 239.61% of its net assets at year-end 2024. The actual total outstanding external guarantee balance is 764,530.03 million yuan, which accounts for 17.74% of total assets and 66.50% of net assets. The company reported no overdue external guarantees.
