Shiji Information to deepen Fliggy partnership, focusing on hotel direct connections

Beijing Shiji Information Technology (Shiji Information) announced a proposed related party transaction with Zhejiang Fliggy Network Technology (Fliggy) for direct connection services, formalized by a "Direct Connection Business Cooperation Agreement" signed on September 10, 2025. This collaboration constitutes a related party transaction because Shiji Information director Zhuang Zhuoran also serves as the executive director and general manager of Fliggy, making Fliggy a related corporate entity.

The agreement covers areas like hotel system direct connection, credit-based booking, membership platforms, and QR code payment. Shiji Information will provide technical services to Fliggy and collect service fees based on transaction amounts from January 1, 2025, onwards. The estimated routine related party transactions with Fliggy for 2025 are up to 10 million yuan for hotel order transmission services.

The transaction is subject to shareholder approval, with Alibaba Group Holding Limited, a controlling shareholder of Fliggy, abstaining from the vote. This cooperation aims to enhance Shiji Information’s and Fliggy’s competitiveness in the direct connection and platform development sectors.
