Inspur shareholders approve key governance revisions

Inspur Electronic Information Industry Co., Ltd. (SZSE:000977) announced the successful conclusion of its third extraordinary general meeting of shareholders in 2025, held on September 11, 2025. Shareholders approved three key proposals, primarily concerning revisions to the company's governance framework. The meeting saw 2,628 shareholders, representing 543,028,551 shares or 36.8985% of the total voting shares, participate through a combination of on-site and online voting.

The "Proposal on Amending the Articles of Association" passed with 99.9017% of votes in favor, 0.0557% against, and 0.0427% abstentions. Similarly, the "Proposal on Amending the Rules of Procedure for General Meetings" received 99.9024% in favor, 0.0552% against, and 0.0424% abstentions. Both were special resolutions, requiring approval by two-thirds of the voting shares present.

The "Proposal on Amending the Rules of Procedure for the Board of Directors" also passed as a special resolution, with 99.9012% of votes in favor, 0.0566% against, and 0.0422% abstentions. All proposals were confirmed by legal counsel to have been adopted through proper procedures, ensuring their validity and effectiveness.
