Focus Lightings Tech completes share cancellation, reduces capital

Focus Lightings Tech has completed the cancellation of 32,831,660 repurchased shares, representing 3.38% of its pre-cancellation total share capital. This action, finalized on September 9, 2025, reduces the company's total shares from 971,746,804 to 938,915,144 and decreases the registered capital accordingly. The actual cost of the repurchased shares was yuan 300,013,990.67.

The company had initially approved a share repurchase program in February 2024, with repurchases made between February 5 and April 8, 2024. Subsequently, in June and July 2025, the board and shareholders approved changing the use of these repurchased shares from resale to cancellation and a corresponding reduction in registered capital.

As a result of the share cancellation, Mr. Sun Yongjie, a shareholder holding over 5% of Focus Lightings Tech shares, saw his ownership percentage passively increase from 11.93% to 12.34%, triggering a change of 1% or more in his shareholding ratio. His total number of shares, 115,884,000, remained unchanged. This change does not affect the company's controlling shareholder or actual controller.
