Easyhome New Retail Group control shifts to Yang Fang

Easyhome New Retail Group Co., Ltd. announced a change in its actual controller, with Ms. Yang Fang taking over from the late Mr. Wang Linpeng. Mr. Wang, who passed away on July 27, 2025, was the former actual controller and directly held 372,049,824 shares, representing 5.97% of the company's total share capital. He also indirectly controlled an additional 37.96% of shares, totaling 43.93% control.

Ms. Yang Fang, Mr. Wang's spouse, acquired his shares through a combination of marital property division and inheritance. This transaction grants her direct ownership of the 372,049,824 shares and indirect control over the same proportion of shares through Beijing Easyhome Investment Holdings Group Co., Ltd. and Horgos Huixinda Building Materials Co., Ltd. As a result, Ms. Yang Fang now collectively controls 2,735,620,872 shares, representing 43.93% of Easyhome New Retail Group's total share capital, making her the new actual controller. The company's controlling shareholder, Easyhome Holdings, remains unchanged.

This change is considered a non-public offer acquisition, exempting Ms. Yang Fang from issuing a tender offer. The company confirmed that the change in actual controller will not impact its operational stability, management, or the independence and continuity of its business operations.
