Fujian Star-net announces director resignation, replacement nominee

Fujian Star-net Communications announced that Wu Binbin has resigned from her roles as a director and a member of the audit committee of the seventh board of directors, effective August 29, 2025, due to work adjustments. Her departure does not reduce the number of directors below the legal minimum, and she will continue to fulfill her audit committee responsibilities until a replacement is appointed. Wu does not hold any company shares and is not subject to any share lock-up commitments.

Following Wu's resignation, the company's board of directors held its tenth meeting of the seventh session on September 4, 2025, to approve the nomination of Sun Zhongjun as a candidate for non-independent director. Sun, born in July 1986, holds a bachelor's degree in human resource management and has a background in various human resource management roles, including his current position as deputy director of human resources (party committee organization department) at Fujian Electronic Information Group.

Sun Zhongjun does not hold any shares in the company and has no affiliations with major shareholders or other directors, supervisors, or senior management. His appointment is subject to shareholder approval at the company's second extraordinary general meeting in 2025. His term will commence upon approval and will run until the end of the current seventh board of directors' term.
