China Reform Health announces passing of independent director

China Reform Health Management And Services Group announced that its independent director, Mr. Bai Yan, passed away due to illness on August 31, 2025. The company's board of directors expressed deep condolences to his family.

During his tenure as an independent director, chairman of the Remuneration and Assessment Committee, member of the Audit Committee, and member of the Nomination Committee, Mr. Bai Yan diligently fulfilled his duties. He provided professional opinions and recommendations for the company's decisions and actively safeguarded the interests of minority shareholders. The company deeply mourns his passing and acknowledges his significant contributions.

Following Mr. Bai Yan's death, the number of current board members has decreased from nine to eight. This number is now below the total number of board members and independent directors stipulated in the Company's Articles of Association. Additionally, the number of independent directors falls below one-third of the board members. The company will promptly initiate the process to elect a new independent director in accordance with the Company Law and its Articles of Association, and fulfill information disclosure obligations.
