Sinotruk Jinan Truck proposes new directors amid board changes

Sinotruk Jinan Truck announced the resolutions from its Ninth Board of Directors Fourth Extraordinary Meeting, held on July 10, 2025. The board approved the nomination of Zhao Hai as a non-independent director, and Wang Qin and Wei Jian as independent directors, all subject to shareholder approval at an upcoming general meeting. These nominations follow the resignations of Zhao Erxiang and Yang Guodong from their respective board positions due to work adjustments and personal reasons.

The company expressed its gratitude to Zhao Erxiang and Yang Guodong for their diligent service and contributions to improving the company's operations during their tenures. All directors attended the meeting, which was chaired by Liu Hongyong, the chairman of the board.

In addition to the director nominations, the board approved the continuation of entrusting financial management with its own idle funds and resolved to convene the Fifth Extraordinary General Meeting of Shareholders in 2025 on July 29, 2025. The meeting will combine on-site and online voting and discuss these director appointments.
