Avica Aircraft: Share transfer under same control, capital restructuring

AVICA Aircraft (SZSE:000768) announced a proposed non-public agreement for the transfer of 160,136,566 shares, representing 5.76% of the company's total shares, from AVIC Investment Holding Co., Ltd. to China Aviation Industry Corporation (AVIC), the company's controlling shareholder. The transfer, executed at a price of CNY3,812,851,636.46, is an internal transaction among entities under the same ultimate control, and will increase AVIC's direct holding to 43.77%. Post-transfer, AVIC’s total controlling stake remains at 54.75%. Furthermore, AVICA Aircraft also announced the completion of registration procedures related to the reduction of the company's registered capital by CNY591,000, bringing the new total to CNY2,781,149,071. The capital adjustment and equity transfer are subject to customary regulatory approvals.
