Envicool's major shareholders see passive stake dilution

Shenzhen Envicool Technology (SZSE:002837) announced that the shareholding ratio of its controlling shareholder, actual controller, and persons acting in concert has been passively diluted, reaching an integer multiple of 1%. This dilution stems from the exercise of stock options under the company's 2022 and 2024 equity incentive plans between August 22, 2024, and April 30, 2025. A total of 5,254,230 shares were issued through option exercises, increasing Envicool’s total share capital. As a result, the combined shareholding of these major stakeholders decreased from 31.2177% to 30.9975%, while their actual shareholdings remained unchanged at 230,877,227 shares. The company clarified that this passive dilution will not alter the controlling shareholder or actual controller and will not impact Envicool's corporate governance.
