Shandong Pharmaceutical Glass to update articles of association

Shandong Pharmaceutical Glass Company Limited has announced its first extraordinary general meeting for 2026, scheduled for January 8, 2026, at 3:00 PM CST. The meeting will be held at the company's R&D building in Yiyuan County, Zibo City, Shandong Province. A primary agenda item for shareholders is the consideration and approval of revisions to the company's articles of association.

The proposed amendments primarily concern article 8, which defines the company's legal representative. The revised article clarifies that the legal representative, responsible for executing company affairs, can be either a director or the general manager, subject to confirmation by the board of directors. Furthermore, the board of directors will have the authority to change the legal representative. If a director or senior manager serving as the legal representative resigns, they are deemed to have simultaneously resigned from the legal representative position, with a new representative to be appointed within 30 days.

Shareholders can participate in the meeting both in person and via online voting through the Shanghai Stock Exchange's online voting system. The proposed revisions align with the "Company Law," "Securities Law," and "Guidance on Articles of Association of Listed Companies."
