North Navigation forecasts significant related-party transactions for 2026

North Navigation Control Technology Co., Ltd. has unveiled its projections for daily operational related-party transactions in 2026, anticipating sales of goods not exceeding RMB 4.5 bn and provision of services not exceeding RMB 58m. The latter includes RMB 50m for R&D and other services to NORINCO Group units, and RMB 8m for entrusted management services from North Navigation Group. The company also forecasts procuring goods and services (including R&D) up to RMB 2.5 bn, and engaging in asset leasing with rental income up to RMB 1m and rental payments up to RMB 10m. Additionally, it projects a maximum daily deposit balance of RMB 3 bn and a maximum loan balance of RMB 300m with NORINCO Finance Co., Ltd. These transactions, deemed necessary due to the company's military product focus and industry characteristics, are consistent with regulatory requirements and are expected to be conducted under fair market principles.

The company's board of directors approved these related-party transactions on December 25, 2025, with four associated directors abstaining. These will be presented for shareholder approval at the first extraordinary general meeting of 2026, scheduled for January 14, 2026, in Beijing. The meeting will utilize both on-site and online voting via the Shanghai Stock Exchange network platform. Shareholders will also vote on revisions to the "Management Measures for Raised Funds." Related-party shareholders, including North Navigation Technology Group Co., Ltd. and NORINCO Investment Management Co., Ltd., will be required to abstain from voting on the related-party transaction proposal.
