Zhengzhou Coal Mining Machinery Group launches new investment platform

Zhengzhou Coal Mining Machinery Group Co., Ltd. announced the establishment of a new industrial investment platform. This initiative involves the company using its own funds to set up a wholly-owned subsidiary, Zhengzhou Zhongchuang Zhiling Future Investment Management Co., Ltd., with a capital contribution of 10,000,000 yuan.

Subsequently, the company will contribute 299,000,000 yuan as a limited partner, and the investment management company will contribute 1,000,000 yuan as a general partner, to establish Zhengzhou Zhongchuang Zhiling (Zhengzhou) Industrial Investment Partnership (Limited Partnership), totaling an investment of 300,000,000 yuan.

The new platform aims to implement the company's "industry and investment dual-driven" strategy, focusing on upstream and downstream segments of existing industries, strategic emerging industries such as new energy and semiconductors, and internal innovation to foster "second growth curves." The board meeting on December 22, 2025, approved the establishment of this new platform and authorized management to handle the registration procedures. The company noted that this investment does not constitute a connected transaction or a major asset restructuring.

The company cautioned investors about potential risks, including uncertainties in completing registration procedures, long investment recovery periods, policy changes, and industry fluctuations that could affect investment returns. The establishment of both the investment management company and the partnership requires industrial and commercial registration.
