Guotai Junan Securities: Acting-in-concert party completes equity transfer

Guotai Junan Securities announced a gratuitous transfer of 931,505 A shares (approximately 0.01% of the company's total shares) from Shanghai International Group Asset Management Company to International Group Asset Management Company, a wholly-owned subsidiary of International Group. This transfer was completed on December 22, 2025.

Following the completion of this transfer, Shanghai International Group Asset Management Company no longer holds any A shares in the company. International Group Asset Management Company's total A-shareholding in Guotai Junan Securities has increased to 35,663,657 shares.

The overall shareholding of Shanghai International Group and its acting-in-concert parties remains unchanged. They collectively hold 3,320,499,533 A shares and 276,000,000 H shares, maintaining a combined stake of 20.40%. This transaction does not impact the company's controlling shareholder or actual controller.
