Dazhong Public Utilities inks two LPG distribution and safety service contracts

Shanghai Dazhong Public Utilities Group has entered into two continuing connected transactions, effective from late 2025 to late 2027. The first is a unified distribution and safety services contract for bottled liquefied petroleum gas, signed on December 19, 2025, with Shanghai Gas Chongming. Under this agreement, Dazhong Logistics Distribution will provide unified motor vehicle distribution, installation, and safety inspection services for bottled LPG in Shanghai's Chongming District. The estimated annual transaction amount for 2026 under this contract is capped at RMB 30 million.

The second agreement is a commissioned distribution services contract for liquefied gas steel cylinder users, also signed on December 19, 2025, with Shanghai Oriental Energy. Dazhong Logistics Distribution will handle motor vehicle distribution, installation, commissioning, and safety inspections for liquefied gas steel cylinder users in Shanghai's regional area. The annual transaction caps for this contract are RMB 0.5 million for the period from December 26 to December 31, 2025, RMB 40 million for 2026, and RMB 40 million for the period from January 1 to December 25, 2027.

Both contracts are considered continuing connected transactions under Chapter 14A of the Listing Rules. The aggregate maximum applicable percentage ratios for these transactions are between 0.1% and 5%, requiring reporting, annual review, and announcement but exempting circulars and independent shareholder approval. Pricing for services under both contracts is determined based on fair market rates, considering quotes from independent third-party suppliers and market prices charged to independent third-party customers.
