Sanyuan Foods divests real estate stake, renews financial services deal

Beijing Sanyuan Foods Co., Ltd. announced a proposed equity transfer of its 10% stake in Beijing Sanyuan Dehong Real Estate Development Co., Ltd. to Beijing Nanjiao Farm Co., Ltd., a wholly-owned subsidiary of Sanyuan Foods' controlling shareholder, Beijing Capital Agribusiness Group Co., Ltd. The transaction, valued at 26,851,511.20 yuan, is based on an appraisal report with a valuation date of December 31, 2024, indicating a 9.55% reduction from book value. Following the transfer, Sanyuan Foods will no longer hold equity in Sanyuan Dehong, which specializes in real estate development and property management.

Separately, Beijing Sanyuan Foods Co., Ltd. confirmed the renewal of its financial services agreement with Beijing Capital Agribusiness Group Finance Co., Ltd. for three years, maintaining daily transaction limits of 150,000 yuan each for deposits, loans, and entrusted loans. The terms include interest rates not lower than the People's Bank of China's benchmarks for deposits and not higher than market rates for loans. Concurrently, Fosun Chuanghong, a shareholder, reduced its stake in Sanyuan Foods by 1.06%, bringing its total shareholding with Pingrun Investment to 16.69% through a centralized bidding transaction from December 17-18, 2025.

The board of directors approved the equity transfer and financial services agreement on December 18, 2025, with related parties abstaining from voting. Minor amendments to the company's "Shareholders' Meeting Rules" and "Board of Directors' Meeting Rules" were also approved, requiring shareholder approval at the upcoming second extraordinary general meeting in 2025.
