Shaanxi Construction Engineering shareholders approve key resolutions

Shaanxi Construction Engineering Group Corporation Limited held its second extraordinary general meeting of shareholders for 2025 on December 16, 2025, with 350 shareholders and proxies attending. Total voting shares represented amounted to 2,713,543,759, constituting 72.5597% of the company's total voting shares. All three proposed resolutions were approved.

Key approvals included the adjustment of the company's 2025 daily operating related-party transactions with its controlling shareholder and subsidiaries. This resolution passed with 187,239,490 votes in favor, representing 97.2831% of participating votes. Additionally, the adjustment of 2025 daily operating related-party transactions with Yanchang Group passed with 2,544,850,793 votes in favor (99.7963%).

The resolution concerning the extension of the controlling shareholder's commitment to avoid horizontal competition also received overwhelming support, with 187,310,700 votes in favor, or 97.3201% of the votes cast for that item. During the voting process, Shaanxi Construction Engineering Holding Group Co., Ltd. and Shaanxi Construction Engineering Industrial Co., Ltd. abstained from voting on resolutions 1 and 3, while Shaanxi Yanchang Petroleum (Group) Co., Ltd. abstained from voting on resolution 2.
