Baiyin Nonferrous Group proposes auditor change for 2025 fiscal year

Baiyin Nonferrous Group Co., Ltd. has announced a change in its accounting firm, proposing Beijing Xinghua Certified Public Accountants (Special General Partnership) as its auditor for the 2025 fiscal year, replacing Beijing Chengyu Certified Public Accountants (Special General Partnership). This decision, driven by the Gansu Provincial State-owned Assets Supervision and Administration Commission's selection and recommendation, received unanimous approval from the company's board of directors on December 15, 2025. The appointment is pending shareholder approval at the upcoming 2025 Fourth Interim Shareholders' Meeting.

Beijing Xinghua, established on November 22, 2013, has 95 partners and 453 certified public accountants, with 185 authorized to sign securities-related audit reports. The firm reported total revenue of CNY 83,747.10 million for 2024, with audit services contributing CNY 59,855.11 million. The proposed audit fee for 2025 is CNY 356.10 million (including tax), a reduction of CNY 59.85 million (14.39%) from 2024, with CNY 256.10 million for financial audits and CNY 100.00 million for internal control audits.

The 2025 Fourth Interim Shareholders' Meeting will be held on December 31, 2025, at 3:00 PM at the company's office building in Baiyin District, Baiyin City, Gansu Province. Shareholders can participate via on-site voting or through the Shanghai Stock Exchange's online voting system. Both outgoing and incoming audit firms have been consulted and have no objections to the change.
