Gansu Dunhuang Seed announces director changes, proposes new board member

Due to work adjustments, Yang Fan and Gao Lingjun have resigned from their positions as directors on the ninth board of directors of Gansu Dunhuang Seed Group Company Limited. Gao Lingjun also stepped down from the board's audit committee. Additionally, Wang Dong will no longer serve as vice chairman but will continue as a director, general manager, and a member of the remuneration and appraisal committee, and the strategic development committee. Their resignations are effective from the date their reports were submitted to the board of directors. As of the announcement date, Yang Fan and Gao Lingjun do not hold any shares in the company.

To maintain the normal operation of the board, the company's nomination committee has proposed Wang Junyuan as a candidate for a non-independent director on the ninth board. This proposal was approved at the seventeenth extraordinary meeting of the ninth board of directors held on December 11, 2025. The term of office for Wang Junyuan will commence from the date of approval by the shareholders' meeting until the expiration of the term of the ninth board of directors. The proposal will be submitted to the second extraordinary shareholders' meeting of 2025 for deliberation.

Wang Junyuan, born in 1970, holds a college degree and is an assistant agronomist. He currently serves as a member of the Party Committee and deputy general manager of Dunhuang Seed, chairman of Zhangye Dunhuang Seed Co., Ltd., and chairman of Dunhuang Seed Pioneer Fine Seed Co., Ltd. He also holds the position of vice president of the Gansu Seed Industry Association. As of the announcement date, Wang Junyuan does not hold any company shares and has no affiliations with other directors, senior management, or shareholders holding five percent or more of the company's shares.
