China Avionics Systems revises insider information management system

China Avionics Systems Limited (AVIC) has formally adopted a revised "Insider Information Registrant Management System," approved by its board of directors on December 12, 2025. This new system, grounded in Company Law, Securities Law, and various regulatory guidelines, aims to enhance the company's internal controls regarding undisclosed material information.

The core of the system mandates timely registration and submission of insider information registrant files, ensuring their accuracy and completeness, with the chairman bearing primary responsibility. The board secretary is tasked with managing the registration process, while the securities affairs department oversees daily administration. Insider information includes significant changes in business scope, major investments exceeding 30% of total assets, critical contracts, and any event impacting the company’s securities prices before public disclosure.

The policy also extends to external units with access to the company's inside information, including subsidiaries and companies under significant influence. Insider information registrants, including shareholders, actual controllers, and professional service providers, are obligated to cooperate with the registration process and promptly report any changes. The company will maintain insider information registrant files and major event progress memorandums for at least ten years. Severe penalties, including administrative, economic, and potential criminal charges, await those who misuse or leak insider information.
