Sinotrans proposes board expansion, new director appointment

Sinotrans Limited announced on December 11, 2025, that its board approved revisions to its articles of association to expand the board of directors from eleven to twelve members, with eight non-independent and four independent directors. These changes, along with related adjustments to the rules of procedure for board meetings, will be submitted for approval at the company's fourth extraordinary general meeting in 2025.

Concurrently, the board has proposed the election of Mr. Gong Weiguo as a non-independent director. Mr. Gong, born in 1971, is currently the general manager and deputy party secretary of China Southern Airlines Logistics Co., Ltd. His term, if approved by shareholders, will run until the end of the fourth session of the board of directors. The appointment is contingent on the approval of the board expansion and articles of association amendments.

The board’s resolution received unanimous approval from all participating directors, following a review by the nomination committee. Mr. Gong has no association with the company’s directors, senior management, controlling shareholders, or shareholders holding 5% or more of the company's shares.
