Bohui Paper to vote on new director at extraordinary general meeting

Shandong Bohui Paper Industrial Co., Ltd. announced an addition to the agenda for its 2025 third extraordinary general meeting of shareholders. The meeting, scheduled for December 19, 2025, will now include a proposal to elect Mr. Jiang Daojun as a non-independent director for the eleventh board of directors. The proposal was submitted by Shandong Bohui Group Co., Ltd., which holds 28.84% of the company's shares, on December 9, 2025.

Mr. Jiang Daojun, born in 1970, holds a bachelor's degree in accounting and has extensive experience in the paper industry. He has served in various senior accounting roles at companies such as Gold East Paper (Jiangsu) Co., Ltd., Guangxi Gold Hongye Paper Co., Ltd., and Ningbo Zhonghua Paper Co., Ltd. He currently serves as the accounting director for the China BU of APP Gold Bright Group and as a director at Ningbo Zhonghua Paper Co., Ltd. and Ningbo Asia Pulp & Paper Co., Ltd. As of the announcement date, Mr. Jiang Daojun does not hold any company shares and has no related party relationship with the company's other directors, senior management, controlling shareholders, or actual controllers, nor with shareholders holding 5% or more of the company's shares.

The other matters outlined in the original notice for the extraordinary general meeting, announced on December 4, 2025, remain unchanged. These include proposals concerning 2025 related-party transactions, 2026 guarantees for subsidiaries, 2026 futures hedging plans, and the compensation management system for directors and senior management. The meeting will be held physically in Zibo City and via online voting through the Shanghai Stock Exchange systems.
