Beiqi Foton Motor shareholders approve charter revisions, elect new board

Beiqi Foton Motor Co. Ltd. announced the resolutions from its eighth extraordinary general meeting of shareholders held on December 11, 2025. Key approvals included revising the articles of association and electing the tenth board of directors. The meeting, attended by 633 shareholders representing 4,238,598,138 shares (53.5352% of total voting shares), saw the passing of all non-cumulative and cumulative voting proposals.

Shareholders approved the revision of the company's articles of association with a majority vote. The meeting also elected six non-independent directors: Chang Rui, Wu Xibin, Wu Ji, Gu Xin, Wang Xuequan, and Wang Decheng. Four independent directors — Ye Shengji, Li Ya, Liu Tingli, and Li Weiqing — were also elected. Zhang Quan no longer serves as a director, and Cai En-yu is the new employee representative director.

The new articles of association, effective from December 11, 2025, reflect these changes, including an updated board composition of eleven directors (one chairman, four independent, and one employee representative). The board is now authorized to make certain decisions on behalf of shareholders, as detailed in the revised charter and corresponding meeting rules. These documents define the company's governance and operational frameworks going forward.
