Henan Dayou Energy announces board changes, appoints employee director

Henan Dayou Energy Company Limited announced significant changes to its board of directors, effective December 4, 2025. Zhao Guangming resigned from his positions as a director and member of the strategic committee due to adjustments in the company's governance structure. His resignation took effect on the date the company received his written report. Zhao will continue to serve as the company's general manager and chairman of subsidiary companies. The company confirmed that his departure will not cause the board to fall below the minimum statutory number of directors, ensuring normal board operations.

Concurrently, Shao Feng was elected as an employee director to the ninth session of the company's board of directors. This election took place at the eighth representative group (team) joint meeting of the third session of the company's trade union's employee representatives and trade union members on December 4, 2025. Shao's term began immediately upon election and will continue until the expiration of the ninth session of the board. This appointment follows the company's second extraordinary general meeting on November 28, 2025, which approved the cancellation of the supervisory board and amendments to the company's articles of association.

The revised articles of association stipulate that the board of directors will consist of 11 members, including one employee representative director elected through democratic processes. Shao Feng, born in June 1971, holds a university degree and is a senior accountant. He currently serves as the general manager of the internal audit department at Henan Dayou Energy and has a distinguished career in financial and audit management within the company.
