Will Semi's major shareholders plan significant share donation to university foundation

Will Semiconductor Shanghai announced that its controlling shareholder, Renrong Yu, plans to gratuitously donate 30,000,000 unrestricted shares, representing 2.48% of the company's total share capital, to the Ningbo Oriental Institute of Technology Education Foundation (University Foundation). Additionally, the Ningbo Renrong Yu Education Foundation (Education Foundation), another shareholder, will donate 600,000 unrestricted shares (approximately 0.05% of total share capital) to the same University Foundation.

Following the donation, Renrong Yu's stake in Will Semiconductor Shanghai will decrease from 27.57% to 25.09%, while the Education Foundation's holding will fall from 0.55% to 0.50%. Conversely, the University Foundation's ownership will increase significantly from 3.36% to 5.89%. Both donating parties will transfer shares via non-trading methods, with Renrong Yu's shares originating from pre-IPO holdings.

The University Foundation and Education Foundation have committed to consolidating the donated shares with the controlling shareholder's holdings for purposes of calculating and disclosing future reduction limits. The company stated that this donation plan will not result in a change of control or negatively impact the company's governance structure or ongoing operations.
