Foton Motor to revise articles, elect new board

Beiqi Foton Motor Co. is undertaking comprehensive revisions to its Articles of Association, focusing on strengthening Party leadership and enhancing corporate governance. Key changes include explicitly integrating Party directives into the company's governance framework, revising the company's registration details, and refining the duties and composition of the company's Party Committee. The updated articles emphasize "two-way entry and cross-employment" leadership, with the Party secretary also serving as chairman, and the general manager as deputy Party secretary.

Concurrently, the company is preparing for its eighth interim shareholders' meeting on December 11, 2025, to approve these revisions and elect the 10th Board of Directors. The meeting will be held at 11:00 AM at Foton Motor's 106 Conference Room, with both on-site and online voting options available. Six non-independent director candidates and four independent director candidates have been nominated, with their respective resumes provided for shareholder review.

The proposed amendments also include adding clauses to ensure directors adhere to anti-corruption regulations for state-owned enterprises and prohibiting unauthorized guarantees using company assets. The company's board has unanimously approved the proposed changes to the Articles of Association and the slate of director candidates, which will now proceed to shareholder approval.
