CITIC Securities subsidiary to issue $5.57bn notes guaranteed by wholly-owned unit

CITIC Securities announced its indirect wholly-owned subsidiary, CSI MTN Limited, established a medium-term note program in March 2022, guaranteed by CITIC Securities International. Under this program, CSI MTN Limited will issue two tranches of notes on November 28 and December 1, 2025, with an aggregate issuance of $5,570.20 million. Following this issuance, the total outstanding principal amount of notes under the program will be $2,792.00 million.

The company’s consolidated external guarantees, including those for its controlled subsidiaries, total 1,983.20 billion yuan, representing 67.66% of its latest audited net assets. The board of directors and shareholders approved the guarantee in line with previous authorizations for debt financing. The issuance aims to supplement the guarantor group's operating capital, with CSI MTN Limited serving as a dedicated issuer for offshore debt financing.

Separately, CITIC Securities will hold its 2025 First Extraordinary General Meeting on December 19, 2025, to approve, among other items, amendments to its Articles of Association and the re-signing of its "Securities and Financial Product Trading and Services Framework Agreement" with CITIC Group.
