Beijing Tong Ren Tang renews key brand and land agreements

Beijing Tong Ren Tang has announced that its controlled subsidiary, Beijing Tong Ren Tang Chinese Medicine Co., Ltd., will sign a "Tong Ren Tang" Brand Use Licensing Framework Agreement with China Beijing Tong Ren Tang (Group) Co., Ltd. (Tong Ren Tang Group) for a two-year period, replacing a previous agreement from April 15, 2013. The fee for brand use will be 0.3% of the revenue of Beijing Tong Ren Tang Chinese Medicine Co., Ltd. and its subsidiaries, and 1% for associate companies. Concurrently, Beijing Tong Ren Tang Technologies Co., Ltd. will sign a supplementary agreement to its brand use licensing framework, adjusting clauses regarding fee exemptions for overseas companies. Both transactions are related-party transactions and were approved by the board on November 28, 2025.

In a separate but related transaction, Beijing Tong Ren Tang Technologies Co., Ltd. will renew its land use lease agreement with Tong Ren Tang Group for three years, with an annual rent of yuan 9,281,600 (including tax). This lease renewal is essential for the subsidiary's ongoing operational needs. The agreements aim to protect the "Tong Ren Tang" brand value and support the group's long-term interests.
