Keboda Technology appoints Zhao Zeyuan as employee representative director

Keboda Technology Co., Ltd. announced the resignation of Mr. Zhao Zeyuan as a director and his subsequent election as an employee representative director, effective from the employee representative assembly in 2025 until the expiry of the third board of directors' term. Mr. Zhao, whose original term as director was set to expire on May 17, 2026, resigned on November 26, 2025, due to company governance structural adjustments. He will continue to serve as the company's board secretary.

The company held an employee representative assembly on November 27, 2025, which confirmed Mr. Zhao Zeyuan's election as the employee representative director. This change follows resolutions approving amendments to the company's articles of association.

The revised articles of association stipulate that the company's third board of directors will consist of five non-independent directors, three independent directors, and one employee representative director. Mr. Zhao's qualifications for the role meet all relevant legal and regulatory requirements. His election ensures that the number of senior management personnel also serving as directors and the total number of employee representative directors on the board do not exceed one-half of the total board members.
