Pacific Securities board approves wide-ranging policy updates

Pacific Securities Company Limited’s board of directors convened its 70th meeting on November 26, 2025, to approve 25 key resolutions through a communication vote. All eight directors unanimously passed every resolution. These approvals encompassed significant revisions to various internal committees' work guidelines, including those for the audit, risk management, compensation and nomination, and strategy and development committees. Additionally, the board revised the independent director work system and the board secretary work system.

Further substantial changes included updates to critical regulatory and operational policies. The board approved revisions to the information disclosure, insider information management, investor relations, related party transactions, and fundraising management policies. Other notable amendments covered the general manager work rules, subsidiary management, and whistleblower system. The company also revised its compliance management effectiveness assessment and internal control evaluation policies.

In a move to strengthen governance, the board approved the renaming and revision of the "audit management basic system" to "audit and audit management basic system," and the "risk management basic system." Additionally, the "investment behavior management measures (trial) for directors, supervisors, senior management, and employees" was updated and renamed to "investment behavior management measures for directors, senior management, and employees." New policies were also established for the management of company shares held by directors and senior management, and for the departure management of directors and senior management.
