Seres Group Co. (formerly Chongqing Sokon Industry Group Stock Co.) announced a change in the fund manager for the Guangdong Rongchuang Lingyue Smart Manufacturing and Information Technology Industry Equity Investment Fund Partnership. Originally established on September 23, 2019, with Zhongxin Rongchuang Capital Management Co. as the fund manager, the partnership has now transitioned management to Tianjin Rongchuang Private Equity Investment Fund Management Co. The decision, made via a resolution of the partners' meeting, aims to prevent conflicts of interest given that both entities are wholly-owned subsidiaries of Zhongxin Rongchuang and engage in private equity fund management.

Tianjin Rongchuang Private Equity Investment Fund Management Co., established on July 10, 2014, with a registered capital of CNY 30,000,000, is solely owned by Zhongxin Rongchuang Capital Management Co. The company is registered with the Asset Management Association of China as a private equity fund manager. The announcement confirms that Tianjin Rongchuang has no direct or indirect equity ties with Seres Group, nor are there any related party relationships or interests with the company's controlling shareholders, actual controllers, directors, or senior management.

This change in fund manager is expected to optimize the fund's administration without negatively impacting its future operations. Seres Group will continue to monitor the fund's activities closely, ensuring robust post-investment management and risk control, while adhering to information disclosure obligations. The overall fund size and the terms of the partnership agreement remain unchanged following this transition.
