ArcSoft cancels investee equity restructuring, announces director change

ArcSoft Corporation announced the cancellation of the equity restructuring of its investee, Chengdu Shihai, which was initially planned for July 2024. The decision, reached by all parties, means the original investment of 850.00 yuan will be maintained, with ArcSoft continuing to hold 7.8901 yuan in registered capital of Chengdu Shihai. The reversal of the equity restructuring, deemed a connected transaction due to the involvement of Sunny Industrial Fund, an affiliate of ArcSoft’s controlling shareholder, has been approved by the board and does not constitute a major asset reorganization.

Concurrently, ArcSoft announced that Wang Jin has resigned from his position as a non-independent director of the third board of directors, effective November 19, 2025, due to governance structure adjustments. Wang Jin will continue in his other roles, including deputy general manager and chief technology officer. He was also elected as the employee representative director for the third board, effective November 19, 2025. This ensures the board size and composition remain compliant with regulations.
