Chongqing Chuanyi Automation announces new controlling shareholder, increased transactions

Chongqing Chuanyi Automation Co., Ltd. (SSE:603100) has completed the transfer of 153,510,000 shares, representing 29.91% of its total share capital, to China National Instruments and Meters Co., Ltd. (CNIMC). This transaction, completed on November 14, 2025, involved the direct controlling shareholder, China Instruments and Meters Group Co., Ltd., transferring 98,841,678 shares (19.26%), and the indirect controlling shareholder, Chongqing Yufu Holdings Group Co., Ltd., transferring 54,668,322 shares (10.65%). As a result, CNIMC, a wholly-owned subsidiary of China National Machinery Industry Group (Sinomach), becomes the new controlling shareholder. This changes the ultimate controller from Chongqing State-owned Assets Supervision and Administration Commission to Sinomach.

Following the change in control, Chongqing Chuanyi Automation has updated its forecast for daily related-party transactions for 2025. The company anticipates an increase of 55 million yuan in related-party transactions, comprising 35 million yuan for sales and services and 20 million yuan for procurement and services with Sinomach and its affiliates. These transactions are deemed necessary for the company's normal operations and are priced at market rates, ensuring fairness and transparency.

Additionally, Chongqing State-owned Assets Supervision and Administration Commission and Chongqing Yufu Holdings Group Co., Ltd. have entrusted their shares in China Instruments and Meters Group Co., Ltd. to Chongqing Electromechanical Holdings (Group) Co., Ltd. for management. This move, aimed at strategic restructuring and integration, means Electromechanical Group will indirectly control 10.84% of Chuanyi Automation’s voting rights through China Instruments and Meters Group Co., Ltd.
