Zhuzhou Smelter Group sees controlling shareholder change, ultimate owner unchanged

Zhuzhou Smelter Group (SSE:600961) announced the completion of an equity transfer, making Hunan Nonferrous Metals Holding Group Co., Ltd. its new controlling shareholder. The restructuring involved a gratuitous transfer of shares held by Hunan Shuikoushan Nonferrous Metals Group Co., Ltd. and Hunan Nonferrous Metals Co., Ltd. to Hunan Nonferrous Metals Holding Group Co., Ltd. The transfer registration was completed on November 13, 2025.

Following the transfer, Hunan Nonferrous Metals Holding Group Co., Ltd. now directly holds 335,415,527 shares, representing 31.26% of Zhuzhou Smelter Group's total share capital. Additionally, it indirectly holds 212,248,593 shares (19.78% of total share capital) through Zhuzhou Smelter Group Co., Ltd. The total combined ownership remains at 547,664,120 shares, or 51.05% of the company's total equity.

While the controlling shareholder has changed to Hunan Nonferrous Metals Holding Group Co., Ltd., the ultimate beneficial owner, China Minmetals Corporation, remains unchanged. The company stated this change is not expected to materially impact its business operations or harm the interests of the company and its small and medium-sized investors.
