CITIC Securities unit issues $2.10m notes, guaranteed by subsidiary

CSI MTN Limited, an indirect wholly-owned subsidiary of CITIC Securities, issued $2.10 million in medium-term notes on November 14, 2025, under its established medium-term note program. This issuance is guaranteed by CITIC Securities International, a wholly-owned subsidiary of CITIC Securities. Following this transaction, the total outstanding principal of notes issued under the program now stands at $2.668 billion.

The guarantee falls within the scope of authority approved by the company's Eighth Board of Directors and the 2023 Annual General Meeting, which authorized the company to issue onshore and offshore debt financing instruments. As of the announcement date, the total outstanding guarantees provided by CITIC Securities and its controlled subsidiaries amount to RMB 193.37 billion, representing 65.97% of the company's latest audited net assets.

CSI MTN Limited, a special purpose vehicle (SPV), was established specifically for offshore debt financing, and CITIC Securities holds 100% control through CITIC Securities International. The company noted that the guarantee is necessary and reasonable to supplement the operating funds of the guarantor group and that the risk is controllable.
