China Northern Rare Earth Group: Three directors resign, including an independent director

China Northern Rare Earth Group High-Tech has announced the resignations of Bai Baosheng, Zhang Lihua, and independent director Du Ying. Bai Baosheng, a director and member of the strategic and ESG committee, resigned due to work adjustments. He will now serve as the company's chief business officer. Zhang Lihua, a director and member of the compensation and assessment committee, also resigned due to work adjustments and will no longer hold any positions within the company.

Du Ying, an independent director and chair of the compensation and assessment committee, member of the audit committee, and member of the nomination committee, resigned due to personal work reasons. Her resignation means the proportion of independent directors on the nomination committee falls below the required threshold. All three confirmed no outstanding public commitments and no disagreements with the board.

The company stated that the resignations would not affect its normal operations or business development. The board will initiate the process to elect new directors and independent directors in accordance with legal procedures. The company expressed gratitude for the contributions made by Bai Baosheng, Zhang Lihua, and Du Ying during their tenure.
